Company Secretarial Services in Botswana
Register the company properly. Keep the record accurate. File on time, every year.
Afrique D’oro provides outsourced company secretary and corporate compliance services to companies in Gaborone and throughout Botswana.
Your company’s formal record, kept correctly
Every registered company in Botswana carries obligations that do not go away because business is busy. Returns fall due. Directors change. Shares move. Each of those has to be documented and lodged in the right form.
We act as your company secretarial function — drafting the resolutions, preparing the filings, and holding the statutory records so that when a bank, a funder or a tender committee asks for proof of good standing, it already exists.
If your company is behind, that is not unusual and it is usually fixable. Bring us what you have and we will tell you where you stand before you commit to anything.

What we handle for you
Company incorporations and registrations
Name reservation through to certificate. We prepare and lodge the CIPA registration so your company exists, correctly, the first time.
Annual returns and statutory compliance
CIPA annual returns prepared and filed each year, with the deadline tracked on our side so it never quietly passes.
Changes to directors, shareholders and company details
Appointments, resignations, address and detail changes documented and lodged so the register matches reality.
Share transfers and corporate restructuring
Bringing in a partner, buying one out, or reorganising ownership — documented properly so it holds up later.
Drafting company resolutions
Board and shareholder resolutions written in the correct form for banks, funders and the Registrar.
Maintaining company statutory records
Registers, certificates and minutes held and kept current, so proof of standing is always to hand.
We also provide general corporate compliance support — the smaller queries and once-off requirements that come up between filings.

Company secretarial FAQ
How long does registering a company take?
Timelines depend on name availability and how quickly the Registrar processes the lodgement. We will give you a realistic estimate once we know your proposed name and structure, and we tell you immediately if a name is likely to be rejected.
What do I need to give you to register a company?
Broadly: your proposed company name or names, identity documents for each director and shareholder, the shareholding split, and a physical and postal address for the company. We will confirm the exact list for your situation before you start gathering anything.
What happens if I have never filed an annual return?
The company falls out of good standing, which can block bank facilities, tenders and financing — and in serious cases the company can be struck off. Returns can generally be brought up to date, though penalties may apply. The sooner it is addressed, the cheaper it is.
Can you help if I did not register the company through you?
Yes. We take on existing companies regularly. We start by establishing the current position, then agree what needs to be caught up.
Do you keep my statutory records for me?
Yes. We hold and maintain the registers, certificates and minutes, and provide certified copies when a bank or funder asks for them.
